1. Acceptance of terms
By purchasing, paying a deposit, hiring a service, approving a proposal, using checkout, submitting a form or requesting activation of a digital product, the client confirms that they have read and accepted these terms, the cancellation policy and the specific conditions stated in the proposal, quote, invoice, email, WhatsApp conversation or product page.
2. Digital products and services
MiaCodeWEB sells digital products and remotely delivered services. No physical goods are shipped. Delivery may consist of credentials, access, files, licenses, configurations, server installation, website deployment, technical support, consulting, code, documentation, training or activation of online services.
3. Quotes, scope and changes
Each project is governed by the approved scope. Any additional request, change of criteria, redesign, new integration, urgency, unplanned migration, missing content or work outside the original scope may be quoted separately. Lack of client response may pause delivery deadlines without penalties for MiaCodeWEB.
4. 50% deposit and non-refundability
For web development, software, plugins, integrations, advanced configurations, custom work and professional services, work starts with a minimum payment of 50% of the agreed price, unless otherwise agreed in writing. This payment reserves schedule and covers diagnosis, analysis, planning, initial hours, configurations, administrative management and declined commercial opportunity, therefore it is non-refundable if the client cancels, abandons, breaches, changes their mind, fails to provide information, fails to approve progress or prevents project completion.
5. Payments, balance and final delivery
The remaining balance must be paid before final publication, final file delivery, access transfer, license release, definitive migration or production launch, unless otherwise agreed in writing. MiaCodeWEB may retain deliverables, suspend activations or limit access until overdue amounts are fully paid.
6. Client obligations
The client must provide truthful information, authorized materials, images, texts, access credentials, tax details, commercial definitions and required approvals. The client must also review progress within reasonable time, report detected errors and use the services in good faith. The client is responsible for the legality of the content they publish, sell or request to implement.
7. Abusive clients, fraud and bad faith
MiaCodeWEB may reject, pause or terminate services in cases of abusive conduct, threats, harassment, attempted fraud, contradictory claims, impossible requests, malicious payment denial, false data, attempts to obtain deliverables without payment, unauthorized resale, license violations or disputes opened without reasonable prior contact.
8. Disputes, PayPal and chargebacks
The client agrees to contact MiaCodeWEB before opening a dispute with PayPal, a card issuer, bank or other payment provider. For digital products and services, delivery evidence may include emails, messages, screenshots, access records, server logs, published URLs, repositories, credentials sent, activated licenses, delivered files, approvals, tickets, installation proof, change history and any reasonable evidence that the order was fulfilled in whole or in part.
9. Payment providers and third parties
PayPal, Mercado Pago, banks, cards, gateways, hosting providers, domains, APIs, external plugins, email services, DNS, social networks, search engines and third-party tools operate under their own rules. MiaCodeWEB is not responsible for rejections, blocks, delays, fees, currency conversions, holds, outages, policy changes, account reviews, chargebacks or errors caused by external platforms.
10. Errors, availability and maintenance
Although MiaCodeWEB works with professional care, no website, plugin, server, gateway or integration can guarantee absolute availability, total absence of errors, indefinite future compatibility or specific commercial results. Failures may be caused by updates, plugins, themes, browsers, servers, third parties, credential changes, attacks, client settings, added content or changes made by people outside MiaCodeWEB.
11. Limited warranty and support
Unless otherwise agreed, the warranty covers correction of errors attributable to delivered work within the approved scope and reported with sufficient information. It does not cover preference changes, new features, third-party errors, client modifications, malware, incompatible updates, lost access, misuse, unpaid services, deficient external hosting or unrelated services.
12. Intellectual property and licenses
Materials provided by the client remain the client responsibility. MiaCodeWEB proprietary developments, methodologies, reusable components, know-how, libraries, templates, structures, automations and internal tools are not transferred unless expressly agreed in writing. Licenses may be revoked for non-payment, fraud, abusive dispute, unauthorized copying or breach of these terms.
13. Limitation of liability
To the maximum extent allowed by applicable law, MiaCodeWEB liability is limited to the amount effectively paid for the service that caused the direct claim. Indirect damages, lost profits, lost sales, loss of data not backed up by the client, reputational damage, commercial penalties and consequences arising from external platforms or providers are not recognized.
14. Applicable law
These terms are interpreted under the applicable laws of the Republic of Argentina, without prejudice to non-waivable consumer rights. In any conflict, the parties will first seek a direct and documented solution through the contact channels published by MiaCodeWEB.
